Task force report seeks tough listing rules
New Delhi: The task force on corporate governance headed
by S Rajagopalan, former chairman of the Mahanagar Telephone Nigam Ltd. has recommended
that a National Listing Authority be set up for prescribing tougher listing and compliance
regime for companies. The task force, appointed by the department of company affairs
submitted its report on Thursday.
To ensure investor protection and general upgrading of the
status of listed companies both internationally and domestically, the task force has
recommended applying the toughest standards of corporate governance to listed companies.
It has called for provision of greater information to shareholders and has recommended
that more meaningful and transparent accounting and reporting, improved annual reports
concomitant with more detailed filing with regulatory authorities, and greater
facilitation for informed participation using the advances in converging information and
communications technologies be adhered to.
Besides, it has also suggested various measures relating
to listing and voluntary de-listing. The committee has emphasised the finer aspects of
corporate social responsiveness and ethical business practices.
