Markets: Negative sentiment continues
Mumbai: The flow of positive news from the corporate sector was unable to stem the negative sentiment that has engulfed the markets. Major losers among the A-group stocks include Maharashtra Seamless, Wockhardt, Indo Rama Synthetics and Bharti Televentures. Nifty Junior stocks such as Wockhardt, Biocon, Patni Computer Systems and a host of banking sector stocks pulled down this index.

SEBI: Draft amendments to the takeover code
Mumbai: The Securities and Exchange Board of India is considering changing the takeover code. According to the draft amendments to the regulation, creeping acquisition of over 55 per cent in a company cannot be made through open offers, market purchases or preferential allotments.

If a promoter has acquired shares or voting rights through market purchases or preferential allotments, beyond 55 per cent, he should disinvest the shares acquired in excess of this limit, suggest the draft amendments. Currently, the regulation allows creeping acquisition up to 75 per cent.

Public announcement is necessary for acquiring any stake over 55 per cent, suggests the draft.

Also under Regulation 10 dealing with the acquisition of 15 per cent or more of the shares or voting rights of the company, a provision has been inserted which says that acquisition of over 55 per cent stake must go through the reverse book building route. Effectively, this will also do away with the route of open offer for acquiring up to 100 per cent stake in the target company.

The draft also seeks to expand the definition of 'promoter' to include any person acting in concert with the promoter in any disclosure made in terms of the Listing Agreement.

HDFC Mutual seeks approval for multi cap fund
Mumbai: HDFC Mutual Fund is set to launch a multi cap fund after seeking the approval of the Securities and Exchange Board of India. The offer document is now filed with the Securities and Exchange Board of India.

The primary objective of the scheme is to generate capital appreciation in the long-term through equity investments by investing in a diversified portfolio of smaller, fast growing blue chip companies, says the offer document of the fund.

The fund would invest 90-95 per cent of its corpus in equity and equity-related instruments and can invest 5-10 per cent in fixed income securities.

The benchmark for the scheme would be S&P CNX 500.
The minimum application amount of the fund is Rs5,000 and the fund is available in both growth and dividend options, says the offer document.

An entry load of 2.25 per cent would be charged on investments less than Rs 5crore.

HBL Nife to hold EGM for rights issue
Hyderabad: HBL Nife Power Systems has informed the stock exchanges on Thursday that an extraordinary general meeting would be held on February 10 to seek the approval of shareholders for the proposed rights issue and hike in authorised capital.

It proposes to allot 13.38-lakh equity shares of Rs10 each for cash at a premium not exceeding Rs90 per share on a rights basis to the existing shareholders whose names appear on the register of members on date to be determined by the board.

It also proposes to increase its authorised share capital from Rs21 crore to Rs25 crore by creation of 40-lakh equity shares of Rs10 each and accordingly amending articles and MoA.
