China’s HNA Group to buy Carlson Hotels

Chinese conglomerate HNA Group yesterday struck a deal to buy Radisson and Country Inns & Suites hotel chain owner Carlson Rezidor Hotel Group, for an undisclosed sum.

Carlson Hotels is one of the world's top-10 largest hotel groups having 1,400 hotels in operation and under development with more than 220,000 rooms in 115 countries, employs 90,000 people worldwide, and has annual sales of around $7.8 billion.

The Minneapolis-based hotel chain's portfolio includes global brands like Quorvus Collection, Radisson Blu, Radisson, Radisson RED, Park Plaza; Park Inn by Radisson, Country Inns & Suites By CarlsonSM and Club CarlsonSM.

Carlson Hotels holds 51.3-per cent stake in The Rezidor Hotel Group, based in Brussels, who is the company's master licensee for its brands in Europe, Middle East and Africa.

Its global sales in 2014 were $7.8 billion.

Under the terms of the deal that has been approved by the Carlson board, HNA's unit, HNA Tourism Group will acquire family-owned Carlson Hotels, including its 51.3 per cent majority stake in Rezidor Hotel Group AB.

Since the closing of the deal will result in an indirect change of control in Stockholm-listed Rezidor, HNA Tourism would, under Swedish takeover rules, be obliged to launch a mandatory public tender offer for the remaining approximately 48.7 per cent of Rezidor.

The Carlson family will continue to own their travel business.

Mergers and acquisitions in the hotel industry have recently been on the upswing after a few years lull. Last year, mergers and acquisitions totalled $25.7 billion in this sector.

In November last year, Marriott International agreed to buy Starwood Hotels & Resorts Worldwide for $12.2 billion, a move designed to create the world's largest hotel company with more than a million rooms

European hotel chain, AccorHotels signed a deal in December to acquire Toronto-based FRHI Group, owner of luxury hotels including London's Savoy and New York's Plaza, in a cash-and-share deal worth $2.9 billion.

Last month, shareholders of Starwood Hotels & Resorts Worldwide Inc and Marriott International Inc have approved the $13.6-billion cash-and-stock merger deal to create the world's largest hotel operator.

A Fortune 500 Company, HNA has grown from a local aviation transportation operator into a multinational conglomerate encompassing aviation, airport management, financial services, real estate, retail, tourism, and logistics.

The group has assets worth over $90 billion, and has 11 listed companies. In 2015, HNA had revenues of $29 billion and employed nearly 180,000 worldwide.

It has a fleet of over 820 aircrafts, serves nearly 700 domestic and international routes, flies to over 200 cities, and has serves 77.4 million passengers annually.

HNA operates and manages Hainan Airlines, Tianjin Airlines, Deer Jet, Lucky Air, Capital Airlines, West Air, Fuzhou Airlines, Urumqi Air, Beibu Gulf Airlines, Yangtze River Airlines, Guilin Airlines, My CARGO, Africa World Airlines, and Aigle Azur.

It has recently gone on an acquisition spree by offering to buy Swiss catering and hospitality company Gategroup for $1.5 billion in April, struck a deal in February to buy US electronics distributor Ingram Micro Inc for about $6 billion and paid $2.73 billion to buy airport luggage handler Swissport International Ltd.

It also is the biggest shareholder in Spanish hotel company NH Hotel Group SA.
